1% Cashback Reward Program Terms and Conditions

Please read this Hearth Cashback Rewards Program (the “Rewards”) carefully and retain it for your future reference. This Program contains the general terms, definitions, conditions, and disclosures related to the demand deposit account (the “Account”) made available to eligible businesses by Shogun Enterprises, Inc. DBA Hearth (“Program Partner”), the program partner responsible for managing the Account program, in partnership with Blue Ridge Bank, N.A. Notwithstanding the foregoing, the Program Partner is solely responsible for the offering and management of the Rewards program.
When you see the words “we,” “us,” or “our” in this Agreement, it refers to the Bank, the Program Partner acting as agent for the Bank, and any of the Bank’s affiliates, successors, assignees, agents, or service providers. When you see the words “you” or “your,” it refers to you, the commercial owner of the Account, as well as your Authorized Users, representatives, officers, agents, and successors.
By opening or continuing to hold an account with us, you agree to be bound by this Agreement as well as any other agreement or document we may provide to you from time to time in connection with the Account.
No Enrollment is required for the Rewards. All active, current, and eligible accounts will be automatically enrolled into Rewards upon account creation. You may opt out of Rewards for your eligible accounts by emailing us at email@example.com or contact us by phone at 1-512-686-4141 or mail at the following address: 5812 Trade Center Drive, Suite 100, Austin, TX, 78744. 2. Earning Rewards
You may earn rewards based on qualifying debit card purchases made using your Hearth debit card. You will earn rewards of 1% on all qualifying debit card purchases per calendar month. For example, an eligible purchase of $35.50 would be rounded to $36.00 and you would earn $0.36 in rewards, while an eligible purchase of $35.48 would be rounded to $35.00 and you would earn $0.35 in rewards. An eligible purchase of $0.49 would be rounded to $0.00 and would not earn rewards, while an eligible purchase of $0.50 would be rounded to $1.00 and you would earn $0.01.
Qualifying debit card purchases include:
– Point-of- sale (“POS”) made with your debit card; and
– Online Purchases made with your debit card.
Debit card purchases that are not eligible for rewards include:
– Transactions conducted at an ATM,
– Balance Transfers,
– Fee(s) applied to your account,
– Interest Charges,
– Overdrawn purchases,
– Returned purchases,
– Disputed purchases,
– Fraudulent purchases,
– Wire Transfers, and
– Cash Advances
– Loan Payments
– Money Order or other Cash Equivalents
– ACH transfers.
3. Reward Redemption
3.1 Cashback Reward Redemption
We will redeem the rewards in your Cashback balance at the end of each month. Redeemed rewards will be automatically deposited directly into your Hearth Business Checking account within five (5) business days. The maximum amount of reward redemption per month is $500.00. Any reward amount accrued over $500 will be carried over to the following month for redemption in the following month.
3.2 Account Closure
Cashback Rewards do not expire, but if your Hearth Business Checking account is closed for any reason, unredeemed rewards may be forfeited.
3.3 Adjustments and Terminations
We may make adjustments to your Rewards based on debit card activity. For example, we will decrease the balance in your Cashback Rewards to correspond with the return of a debit card purchase, or the amount of a reward disbursed by us in error. In the event that your reward balance is in the negative, all future earned rewards will go to offsetting the negative reward balance.
We reserve the right, in our capacity as Program Partner, to terminate your access to Rewards immediately if we determine or can reasonably determine that fraud or any illegal activities has taken place as it relates to your Rewards.
You promise not to describe or hold out to the public or any other party that the Program Partner is conducting any banking activities, including processing transactions and/or handling account operations.

5. Applicable Taxes
You agree to pay any applicable taxes, fees, or assessments that are charged by any federal, state, or local authority with respect to payments from your Customer.
You agree to indemnify and hold harmless Program Partner, it Affiliates and licensors, and each of their respective officers, directors, employees, agents and successors and assigns (each, a “Company Indemnitee”), from and against any and all claims, actions, suits, demands, causes of actions, losses, liabilities, damages, costs and expenses, incurred or otherwise suffered by each Company Indemnitee (including but not limited to cost of defense, investigation and reasonable attorneys’ fees), which are attributable to or arise from: (a) your breach of the Deposit Account Agreement and (b) any disputes between you and any third party. If and as requested by Program Partner, you agree to defend, at your cost, each Company Indemnitee in connection with any third party claims, demands, or causes of action resulting from, arising out of or in connection with any of the foregoing, provided that you shall not settle any claim, action or suit without the prior written consent of Program Partner. PROGRAM PARTNER HAS NO OBLIGATION TO DEFEND, INDEMNIFY OR HOLD YOU HARMLESS UNDER THIS AGREEMENT.
